Terms & Conditions
Last updated: October 2026. These terms govern your use of Limneo. They are a working draft prepared for launch and should be reviewed by qualified legal counsel before publication.
1. The service
Limneo operates a private online marketplace where owners of psychiatry and psychedelic medicine practices can list their practices for sale on a confidential, blind basis, and qualified buyers can request access to detailed information.
Limneo is a marketplace platform only. Limneo is not a business broker, does not represent either party in a transaction, and does not provide medical, legal, tax, accounting, or investment advice. Where state law requires a licensed intermediary, transactions are handled with licensed partner brokers.
2. Accounts and eligibility
You must be at least 18 and able to form a binding contract to use Limneo. Buyers represent that they are clinicians, investor groups, or other bona fide acquirers; sellers represent that they own or are authorized to sell the practice they list.
All accounts require email verification and two-factor authentication. You are responsible for keeping your credentials secure and for all activity under your account.
3. Confidentiality and blind listings
Listings are blind by default. Sellers must not include the practice name, street address, phone number, website, or other identifying details in public listing text. Limneo may reject or edit listings that appear to identify a practice.
Buyers must sign a non-disclosure agreement before viewing a listing's full details or data room. NDA signatures are recorded with name, date, time, and IP address, and every document view and download is logged.
You must not attempt to identify, contact, or circumvent a party outside the platform, and must not share confidential listing information with anyone who has not signed the applicable NDA.
4. No patient health information
You must never upload, transmit, or share patient health information, patient names, patient lists, or medical records through Limneo. Sellers are responsible for de-identifying all documents before uploading them to a data room.
Limneo may remove any content and suspend any account that violates this rule, without refund.
5. Fees and billing
Sellers pay a flat listing fee for a six-month listing term, with an optional premium placement upgrade. Buyers may use a free membership or subscribe to a paid plan (monthly or annual). Institutional arrangements are agreed individually.
Paid plans renew automatically until cancelled. You can cancel at any time in Settings; cancellation takes effect at the end of the current billing period. Listing fees are non-refundable once a listing has been reviewed and published.
Prices may change with notice before your next renewal. Applicable taxes may be added.
6. Access requests and data rooms
Sellers approve every buyer individually and may decline or revoke access at any time. Limneo enforces these decisions technically but is not responsible for a party's use of information lawfully obtained under an NDA.
Document downloads are off by default and may be enabled per listing by the seller. Viewed documents carry a watermark identifying the viewer.
7. Acceptable use
You agree not to: misrepresent your identity, credentials, finances, or authority; scrape, copy, or redistribute listing data; probe or bypass security or access controls; use the platform for any unlawful purpose; or interfere with other users' transactions.
Limneo may suspend or terminate accounts that violate these terms, and may decline or remove any listing at its discretion.
8. Disclaimers and limitation of liability
Listing information is provided by sellers and is not independently verified or guaranteed by Limneo, even where a listing or buyer is marked “verified.” Verification means we reviewed submitted materials; it is not a warranty.
The service is provided “as is.” To the fullest extent permitted by law, Limneo disclaims all warranties and is not liable for indirect, incidental, or consequential damages, or for the outcome of any transaction. Our total liability is limited to the fees you paid to Limneo in the twelve months before the claim.
9. General
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.
If any provision is found unenforceable, the rest remain in effect. We may update these terms with notice; continued use after the effective date constitutes acceptance.
