Why referral networks now anchor diligence

Buyers have learned that referral relationships are the revenue engine of interventional psychiatry — and they are underwriting them accordingly.

Ask a buyer what they are really acquiring in an interventional psychiatry practice and the answer has converged: the referral network. Revenues from TMS, Spravato, and ketamine programs flow disproportionately from a concentrated set of referring psychiatrists, therapists, and primary care physicians.

Diligence has followed. Buyers now routinely ask sellers to characterize their top referral sources, how long those relationships have existed, and — critically — whether they are attached to the practice or to the founder personally. Concentration in a few sources is not disqualifying, but it must be understood and priced.

Sellers can strengthen their position by documenting referral patterns in aggregate terms: sources by specialty, share of new patients, and tenure of relationships. None of this requires identifying any patient, and it should never include patient information.
